Terms and Conditions (for Buyers)

These Terms and Conditions (“Agreement”) constitute a legally binding contract between you (“Buyer”, “You”) and Ticto OÜ, a private limited company incorporated under the laws of Estonia, with its registered office in Harju maakond, Tallinn, Republic of Estonia (“Ticto”, “We”, “Us”, “Our”).

Ticto OÜ acts as the Merchant of Record (MoR) for all international transactions processed through its platform or checkout infrastructure.

By placing an order, you confirm that you have read, understood, and agreed to these Terms.

1. Role of Ticto OÜ as Merchant of Record

The Buyer purchases the Product directly from Ticto OÜ, which acts as the seller vis-à-vis the Buyer.

As Merchant of Record, Ticto OÜ assumes full legal and financial responsibility for the transaction, including but not limited to:

  • payment processing;
  • compliance with card scheme rules and applicable consumer protection laws;
  • management of chargebacks, refunds, and disputes;
  • calculation, collection, and remittance of applicable taxes;
  • customer support related to the transaction.

At no time does any momentary or “flash” transfer of title occur between Ticto OÜ and any third-party supplier.

2. Products and Suppliers

Certain Products or Services offered for sale are created, developed, or technically delivered by third-party suppliers (“Suppliers”). Suppliers do not act as sellers to the Buyer.

Any license, access right, or usage permission related to the Product is granted by the relevant Supplier, while the sale itself is concluded exclusively with Ticto OÜ.

3. Contract Formation

A contract is formed when Ticto OÜ confirms acceptance of your order and provides access to or delivery of the Product or Service.

For digital content supplied immediately, you expressly consent to immediate performance and acknowledge that you may lose your statutory right of withdrawal once access begins, where permitted by law.

4. Payments, Taxes and Invoicing

All payments are processed by Ticto OÜ using authorized payment service providers.

Prices displayed include or exclude taxes depending on your location and applicable law. Ticto OÜ is responsible for determining, collecting, and remitting applicable indirect taxes (such as VAT or GST).

Invoices and receipts are issued electronically.

5. Refunds and Chargebacks

Refunds are handled by Ticto OÜ in accordance with applicable consumer laws.

Before initiating a chargeback with your bank or card issuer, you agree to contact Ticto OÜ through official support channels to allow for resolution.

Ticto OÜ commits to:

  • acknowledging refund or chargeback inquiries within 24 hours;
  • providing substantive updates within 5 business days.

6. Consumer Right of Withdrawal

If you are a Consumer resident in the European Union, you may have a statutory right to withdraw within 14 days, except where legal exceptions apply (including digital content supplied immediately).

7. Limitation of Liability

To the maximum extent permitted by law, Ticto OÜ shall not be liable for indirect or consequential damages. Nothing in this Agreement limits mandatory consumer rights.

8. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Republic of Estonia.

The courts of Estonia shall have exclusive jurisdiction, without prejudice to mandatory consumer protection rules applicable in the Buyer’s country of residence.

10. Customer Support

Ticto OÜ provides customer support to Buyers through its official support channels, as indicated in these Terms.

Support services are limited to matters related to the transaction, including payments, access issues, refunds, chargebacks, and general inquiries related to the Products purchased.

10.1. Response Time (Service Level Agreement – SLA)

Ticto OÜ endeavors to comply with the following service-level standards, which represent internal operational targets and do not constitute a guarantee of resolution within a specific timeframe:

  • a) Initial response time: Up to forty-eight (48) business hours from receipt of the support request.
  • b) Resolution time: The time required to resolve a request may vary depending on its nature, complexity, and the need for additional information or third-party involvement. Most support requests are resolved within five (5) business days.

Business Hours: Support requests are handled during Ticto OÜ’s regular business hours: Monday to Friday, 9:00 AM to 6:00 PM (UTC), excluding public holidays observed in Estonia. Requests received outside business hours, on weekends, or on public holidays will be deemed received on the next business day.
